Terms of Service
Plain-language summary
These Terms of Service ("Terms") govern your access to and use of Ninsoftware's applications, websites, and services (collectively, the "Services"). Please read them carefully. By creating an account or using our Services, you agree to be bound by these Terms and our Privacy Policy.
1. Acceptance of Terms
By accessing or using Ninsoftware's Services, you confirm that you are at least 13 years old (or 16 in the EU), have read and understood these Terms, and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree with any part of these Terms, do not use our Services.
2. Google Services & Third-Party Integrations
By connecting your Google account to Ninsoftware, you also agree to Google's Terms of Service (policies.google.com/terms) and Google Drive Terms of Service. Our use of Google APIs is subject to those terms in addition to these Terms.
Ninsoftware is not affiliated with or endorsed by Google LLC. "Google Drive" and "Google" are trademarks of Google LLC.
What we do with your Google account
When you authorize Ninsoftware to access your Google account, we use that access solely to provide the features you requested — such as reading, creating, or organizing files in your Google Drive. We access only the scopes you approved during the OAuth consent flow.
Revoking Google access
You may revoke Ninsoftware's access to your Google account at any time via Google Account Settings. Revoking access may limit or disable certain features of our Services. It does not automatically delete your Ninsoftware account or data — see Section 9 (Termination) for account deletion.
Other third-party services
Our Services may integrate with other third-party platforms. Your use of those platforms is governed by their own terms of service. We are not responsible for the practices of third-party services.
3. Your Account
To use most features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your credentials
- Notify us immediately of any unauthorized access at security@ninsoftware.com
- Accept responsibility for all activity under your account
We reserve the right to refuse registration or cancel accounts at our discretion, particularly if we suspect abuse or violation of these Terms.
4. License to Use Our Services
Subject to these Terms, Ninsoftware grants you a personal, non-exclusive, non-transferable, revocable, limited license to access and use our Services for your personal or internal business purposes.
This license does not include the right to:
- Sell, resell, or sublicense the Services
- Copy or reproduce our apps except as permitted by law
- Reverse engineer, decompile, or disassemble our software
- Use our Services to build a competing product
5. Acceptable Use
You agree not to use our Services to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of others
- Upload or transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Scrape, crawl, or extract data from our Services without written permission
- Impersonate any person or entity
- Harass, abuse, or harm other users
- Circumvent any security measures we implement
⚠️ Violation of this section may result in immediate termination of your account without refund and, where applicable, referral to law enforcement.
6. Intellectual Property
All content, software, designs, trademarks, logos, and other materials comprising the Ninsoftware Services are owned by Ninsoftware Co. or our licensors and are protected by applicable intellectual property laws.
You may not use our name, logo, or branding without our prior written consent.
Open source components of our software are governed by their respective licenses, which are listed in our GitHub repositories.
7. Your Content
You retain ownership of any content you create, upload, or store through our Services ("Your Content"). By using our Services, you grant us a limited license to host, store, and process Your Content solely to provide the Services to you.
We do not claim ownership of Your Content and will not use it for any purpose other than operating the Services for you.
📌 Files stored in your Google Drive belong entirely to you and are governed by Google's terms. We do not store copies of your Drive files on our servers unless a specific feature requires it (and we will tell you when that happens).
You represent that Your Content does not violate any law or third-party rights. You are solely responsible for the content you create or upload.
8. Payments & Billing
Some features of our Services require a paid subscription ("Pro Plan"). By subscribing, you agree to:
- Pay the applicable fees as displayed at the time of purchase
- Provide accurate billing information
- Authorize recurring charges until you cancel
Refunds
We offer a 14-day money-back guarantee for new Pro subscriptions. Refund requests must be submitted to billing@ninsoftware.com within 14 days of initial purchase. After 14 days, payments are non-refundable except where required by law.
Cancellation
You may cancel your subscription at any time from the app Settings. Cancellation takes effect at the end of the current billing period. You retain access to Pro features until that date.
Price changes
We may change pricing with 30 days' notice. Price changes do not apply to your current billing period.
9. Termination
You may delete your account at any time from Settings. Account deletion:
- Cancels any active subscription (no prorated refund)
- Revokes our OAuth access to your Google account
- Schedules deletion of your personal data within 30 days
We may suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these Terms. We will attempt to notify you unless prohibited by law.
Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, and Limitation of Liability) will survive.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NINSOFTWARE DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or free of viruses. We are not responsible for any data loss caused by failures of the Services or third-party platforms (including Google Drive).
📌 We strongly recommend maintaining your own backups of important data, independent of any Ninsoftware or Google service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINSOFTWARE CO. AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
12. Governing Law & Disputes
These Terms are governed by the laws of Thailand, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved first through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in Bangkok, Thailand.
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for intellectual property violations.
These Terms do not affect any consumer protection rights you may have under the laws of your country of residence.
